Acquisition Due Diligence

On behalf of a confidential middle-market private equity firm, Partners’ personnel provided environmental due diligence and material EHS compliance assessments for the proposed acquisition of a multi-site industrial portfolio located throughout New England. Deliverables included a high-level summary report to facilitate business decision-making regarding the proposed transaction and individual Phase I ESAs for each property meeting the ASTM E 1527-13 standard (required by the debt provider). In addition, Phase II subsurface investigations were conducted at two of the locations. The transaction was successfully completed subsequent to implementation of appropriate seller indemnities in the sale & purchase agreement and placement of insurance related to the identified environmental issues. We continued to support the company post acquisition, by addressing identified regulatory compliance gaps.
